NOYAN TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Noyan, including the Noyan website at getnoyan.com, the Noyan desktop application, and related services (collectively, the "Service").

By using Noyan, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

Noyan ("Noyan", "we", "us", or "our") provides a desktop voice assistant that helps users dictate, translate, and improve writing where they type.

Noyan is currently presented under the name "Noyan". If the legal entity operating the Service changes or is updated, these Terms may be updated accordingly.

2. The Service

Noyan may provide features such as:

• Voice dictation
• Voice translation
• Selected text translation
• AI writing assistance
• Text insertion, replacement, paste, or clipboard fallback
• Local history, settings, and preferences
• Free and paid subscription plans

Some features may be experimental, limited, unavailable on certain platforms, or subject to plan limits.

3. Eligibility

You may use Noyan only if you can legally agree to these Terms and use the Service under applicable law. You are responsible for ensuring that your use of Noyan complies with the laws and rules that apply to you.

4. Accounts

Some features may require an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for activity that occurs through your account.

5. Subscriptions and billing

Noyan may offer free and paid plans. Paid subscriptions are billed through our payment processor, Lemon Squeezy, or another payment processor we may use in the future.

By purchasing a paid plan, you authorize the applicable recurring charges for the selected plan. Prices, features, and limits may vary by plan and may change over time.

You can cancel your paid subscription at any time. Cancellation stops future renewals but does not automatically refund fees already charged.

6. Refund policy

Payments are non-refundable after the billing period starts, except where required by applicable law. If you cancel a subscription, you may continue to have access to paid features until the end of the current paid billing period, unless otherwise stated at the time of cancellation.

7. Plan limits and fair usage

Noyan may apply usage limits, fair usage rules, rate limits, or temporary restrictions to protect service quality, prevent abuse, control costs, and maintain reliability.

Free plans may have weekly or other usage limits. Paid plans may include fair usage limits even if described as unlimited in the product interface or marketing materials. We may pause, limit, throttle, or restrict usage that appears excessive, abusive, automated, harmful, or inconsistent with normal use.

8. Acceptable use

You agree not to use Noyan to:

• Violate any law or regulation
• Infringe or misappropriate intellectual property or privacy rights
• Generate, process, or distribute unlawful, harmful, abusive, or deceptive content
• Harass, threaten, defame, or impersonate others
• Attempt to reverse engineer, disrupt, overload, or compromise the Service
• Bypass plan limits, security controls, or usage restrictions
• Use automated systems to abuse the Service
• Upload or process content that you do not have the right to use
• Use the Service in a way that could harm Noyan, other users, or third parties

9. User content

You retain ownership of the content you provide to Noyan, including audio, text, selected text, prompts, instructions, and related material ("User Content").

You grant Noyan a limited permission to process User Content only as needed to provide, maintain, secure, and improve the Service, comply with law, and enforce these Terms.

You are responsible for User Content and for ensuring that you have the rights and permissions needed to use it with Noyan.

10. AI-generated output

Noyan may generate or transform text using automated systems and third-party service providers. Output may be inaccurate, incomplete, inappropriate, or unsuitable for your intended purpose.

You are responsible for reviewing, editing, verifying, and deciding whether to use any output. Noyan does not guarantee that output will be correct, lawful, complete, original, or fit for a particular purpose.

Do not rely on Noyan as a substitute for professional advice, including legal, medical, financial, tax, or other regulated advice.

11. Privacy

Our Privacy Policy explains how we collect, use, and protect information. By using Noyan, you also agree to the practices described in the Privacy Policy.

12. Local data

Noyan may store history, settings, shortcuts, preferences, and other local data on your device. You are responsible for managing your device, local files, backups, and access permissions.

13. Third-party services

Noyan may rely on third-party providers for hosting, AI processing, authentication, payments, analytics, email, support, and other infrastructure. We are not responsible for third-party services outside our control, but we use them to provide and operate Noyan.

Your use of certain third-party services may also be subject to their terms and policies.

14. Software updates and changes

We may update, modify, add, or remove features at any time. Updates may be required for security, compatibility, performance, or continued use of the Service.

We may suspend or discontinue any part of the Service at any time, with or without notice, where permitted by law.

15. Intellectual property

Noyan and its software, design, branding, website, documentation, and related materials are owned by Noyan or its licensors and are protected by intellectual property laws.

These Terms do not grant you any ownership rights in Noyan. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Noyan except as permitted by law or with our written permission.

16. Feedback

If you provide feedback, ideas, or suggestions, you grant Noyan permission to use them without restriction or compensation to you.

17. Termination

You may stop using Noyan at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, create risk for Noyan or others, or where required by law.

After termination, some provisions of these Terms will continue to apply, including ownership, disclaimers, limitations of liability, payment obligations, and dispute-related provisions.

18. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Noyan disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not guarantee that the Service will be uninterrupted, secure, error-free, compatible with every app or device, or that output will always be accurate or suitable.

19. Limitation of liability

To the maximum extent permitted by law, Noyan will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or other intangible losses arising from or related to your use of the Service.

To the maximum extent permitted by law, Noyan's total liability for any claim related to the Service will not exceed the amount you paid to Noyan for the Service in the three months before the event giving rise to the claim, or USD $50 if you have not paid Noyan.

20. Indemnity

You agree to defend, indemnify, and hold harmless Noyan from claims, damages, liabilities, losses, and expenses arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

21. Governing law

These Terms will be governed by the laws specified by Noyan before launch, without regard to conflict of law rules.

These Terms are governed by applicable laws, without limiting any mandatory consumer protection rights that may apply where you live.

22. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify users, such as updating the date at the top of this page or providing notice through the website or app.

Your continued use of Noyan after changes become effective means you accept the updated Terms.
